Giveaways Description and EntryPeriod: Sneaker Pimps,Inc.’s (“Company” or “Sneakerpimps”) “GoSmart Shoefie contest” begins at 11 a.m.Pacific Standard time (“PST”) on July 20, 2015 and ends 11:59 p.m. PST on November 18, 2015. The “GoSmart Shoefie” is a contest in which eligible participants can enter through Instagram. Any submissions outside this timeframe will be disqualified. Requirements to enter are detailed below under “How to Enter.” The winners will be selected subject to the Official Rules and these Terms and Conditions herein. Entry in the “GoSmart Shoefie contest” does not constitute entry into any other promotion, contest or sweepstakes.

Eligibility: The “GoSmart Shoefie contest” is open to participants who are legal residents of the United States (including Puerto Rico), have a valid Instagram account and are following @SneakerPimps, and who have entered valid and verifiable information upon entry. Instagram is free to join.

How to Enter: Follow @SneakerPimps on Instagram. Upload a photo (“Shoefie”) to Instagram of yourself wearing shoes. The Instagram must include the official hashtag, #GoSmartShoefie, and mention @SneakerPimps to become an official submission. Entrants may enter unlimited enteries, however can only win one prize.

The “GoSmart Shoefie contest” is in no way sponsored, endorsed or administered by,or associated with Instagram.

Selection of Winners: Sneaker Pimps will select a winner every week until November 18, 2015. There will be an over all five (5) Grand Prize Winners at the end of the tour. Winning “shoefies” are based on the following criteria: photo quality/resolution, creativity, originality, photo attractiveness and composition/layout. There will be winners once a week (announced every Friday via. Instagram.)

Each of the five(5) Grand Prize Winners will be notified by announcement on the Sneaker Pimps Instagram account and official website.

If you are selected as the Grand Prize Winner and meet the eligibility requirements set forth herein, you will have five (5) business days to claim your prize after date of notification. If you do not claim your prize within five (5) business days, Sneaker Pimps will select another winner using the same criteria.

Prize: Each winner will receive a prize provided by Sneaker Pimps and announced at the start of every week.

Prizes are non-transferable,non-refundable and have no cash value if not used.

Content Submissions: By submitting the Contest Submission(s)("Submission"), Entrant hereby grants Company a worldwide, non-exclusive, royalty-free, fully paid, sub licenseable and transferable license to use, reproduce, display, and create any derivative works of the Submission in perpetuity, including but not limited to editorial content regarding the Submission, and that Company shall have the right to publish the Submission in any media format, including all social medial channels, now known or hereafter devised (including any reproduction or derivative work) and use in perpetuity the entrant's name and likeness for any lawful purpose, including promotional purposes, without further compensation. By entering the Contest, Entrant represents that entrant created the Submission for his/her entry into this Contest. Entrant forever waives any rights of privacy, intellectual property rights, and any other legal or moral rights that may preclude Company's use of his/her Contest Entry, or require Entrant's permission for Company to use his/her Contest Entry for any purpose, and agree to never sue or assert any claim against Company for its use of his/her Contest Entry.

Content Restrictions: Entrant may not submit or post anything that is offensive or violates any third party's rights. For example, your Contest Entry must not contain or reference any of the following:

o Names,identifying information or photos of any persons other than Entrant (no friends or other family members)

o Nudity or lewd, vulgar, indecent or obscene images (as determined in Company's sole discretion);

o Material that violates or infringes another's rights, including but not limited to privacy, publicity or intellectual property rights;

o Material that is copyrighted, trademarked, protected by trade secret or otherwise subject to a third party's proprietary rights, including privacy and publicity rights, unless Entrant is the owner of such rights or have permission from their rightful owner to post the material;

o Depiction of defamatory statements (including but not limited to words or symbols that are widely considered offensive to individuals of a certain race, ethnicity,religion, sexual orientation or socioeconomic group);

o Third-party trademarks, names or logos; or

o Material that is unlawful, in violation of or contrary to the laws or regulations in any country, state or province where the Contest Entry is created.

EntryErrors: Company is not responsible for lost, late, incomplete, damaged, stolen, invalid, unintelligible or misdirected entries, which will be disqualified. Company is not responsible if online service or equipment is interrupted including without limitation (1) interruptions to any network, server, Internet, Web site, telephone, satellite, computer or other connections, (2) failures of any telephone, satellite, hardware, software or other equipment, (3) garbled, misdirected or jumbled transmissions, or traffic congestion, (4) other errors of any kind, whether human, technical, mechanical or electronic, (5) the incorrect or inaccurate capture of information or the failure to capture any such information, or (6) printing or typographical errors.

PotentialWinner, Publicity:As a condition of entry, you grant consent to Company, and their respective agents to use your name, likeness, voice, and biographical information for publicity or advertising in any media or manner, without payment,consideration, notice or approval and without geographic or time limitation,except where prohibited by law.

Liability: You agree that Company and their respective parents, subsidiaries and affiliated companies and all their advertising and Contest agencies, as well as Instagram, Inc. (the “ReleasedParties”), will have no liability whatsoever in connection with this Contest and, you shall hold them harmless for any injuries, losses or damages of any kind that you or others may incur as a consequence of your participation in theContest or your acceptance, use or misuse of the prize. By entering theContest, entrant explicitly releases, discharges and holds harmless theCompany, their successors and assigns and all their respective shareholders,directors, officers and employees, as well as Instagram, Inc., one and all,from any and all liability, actions, causes of action, damages, actual,incidental or consequential, claims and demands whatsoever in law or equity,including attorneys' fees and/or experts fees and costs, which he/she now has or may acquire, by reason of any personal injury, death, loss of or damage to property, or any reason, occurring during or arising out of his/her participation in the Contest and the acceptance and use or misuse of the prize.The Released Parties are not responsible for any injury or damage to persons or property, which may be caused, directly or indirectly, in whole or in part,from entrant's participation in the Contest or receipt or use or misuse of the prize.

Disputes/Choice of Law: Except where prohibited, each entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Contest or the awarding of the prizes shall be resolved individually, without resort to any form of class action, and exclusively by state or federal courts situated inState of California (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, but in no event attorneys’ fees; and (3) no punitive, incidental, special, consequential or other damages,including without limitation, lost profits, may be awarded (collectively,"Special Damages"), and (4) entrant hereby waives all rights to claimSpecial Damages and all rights to have such damages multiplied or increased.California Law, without reference to choice of law rules, governs the Contest and all aspects related thereto.

Indemnification:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU HEREBY AGREE TO INDEMNIFY, RELEASE AND HOLD HARMLESS COMPANY ANDITS AFFILIATES, AND EACH OF THEIR RESPECTIVE SHAREHOLDERS, DIRECTORS, OFFICERS,EMPLOYEES, LICENSEES, SUCCESSORS, REPRESENTATIVES AND AGENTS AT ALL TIMES FROM AND AGAINST ANY AND ALL CLAIMS, ACTIONS, LOSSES, LIABILITIES, DAMAGES,PROCEEDINGS, COSTS (INCLUDING ATTORNEYS’ FEES) AND EXPENSES FOR ANY INJURY,DAMAGE OR LOSS CAUSED OR CLAIMED TO BE CAUSED, BASED UPON, OR ARISING FROM THE ACCEPTANCE, POSSESSION, USE OR MISUSE OF THE PRIZE OR ANY PART OF THE PRIZE,ENTERING THE SWEEPSTAKES, PARTICIPATION IN THE SWEEPSTAKES, OR PARTICIPATION INANY PRIZE RELATED ACTIVITY OR EVENT.

In no event shall Company be liable to a winner or entrant for any indirect, incidental, consequential,special or punitive damages of any kind, whether in contract, tort, negligence,strict liability, statutory or any other theory of liability arising from or related to the Contest, or any aspect of winner’s or entrant’s participation in or termination from the Contest as provided herein, even if Company has been advised of the possibility of such damages. In no event shall Company be liable to a winner or entrant for any amount with respect to winner’s or entrant’s participation in or disqualification from the Contest, or from the termination or cancellation of the Contest. To the extent permitted by law, the rights to litigate, seek injunctive relief or to any other recourse to judicial or any other procedure in case of disputes or claims resulting from or related to theContest are hereby excluded, and you expressly waive any and all such rights.

General: If any section, provision,term or clause shall be held or found to be unenforceable or invalid by a court decision, statute, rule or otherwise, the remaining provisions shall not be affected thereby and shall continue in full force and effect and such provision may be modified or severed from these Rules to the extent necessary to make such provision enforceable and consistent with the remainder of these Rules.
